Terms of service

Last updated

These terms govern use of the CreatorQube website and the CreatorQube service (the "Service") provided by Avetria Tech Private Limited, a company incorporated in India with its registered office at A/21, Jay Suryanagar Society, Nikol Kathwada, Nikol, Ahmedabad, Gujarat, India, 382350 ("CreatorQube", "we", "us").

The Service is for businesses. By accepting an order form, or by creating or using an account, you agree to these terms on behalf of the organisation you represent ("Customer", "you"), and you confirm you have authority to do so.

1. Access to the Service

1.1 Accounts and trials. We create accounts ourselves, usually after a demo; there is no self-service sign-up. We may give you a trial account so you can evaluate the Service. A trial may have limits we tell you about, and we may end it at any time. To keep using the Service after a trial, you need a plan set out in an Order Form.

1.2 Plans and order forms. Your plan, its limits (such as seats, tracked creators and credits), fees and subscription term are set out in an order form or other written confirmation from us (the "Order Form"). If an Order Form conflicts with these terms, the Order Form prevails for that subscription.

1.3 Users. You may invite your employees and contractors ("Users") up to your plan's seat limit. You are responsible for your Users' actions and for keeping sign-in details secure. Tell us promptly at hello@creatorqube.com if you suspect unauthorised access.

1.4 Credits. Some actions, such as filtered creator searches and unlocking a creator's full report, use credits included in your plan. Credits have no cash value, cannot be transferred, and are not refundable.

2. Fees and payment

2.1 You will pay the fees in your Order Form. Unless the Order Form says otherwise, invoices are payable within 15 days.

2.2 Fees exclude taxes. You are responsible for applicable taxes other than taxes on our income.

2.3 If fees are overdue, we may suspend the Service after giving you written notice and a reasonable chance to pay.

3. Acceptable use

You must not, and must not let anyone else:

  • scrape, crawl, bulk-download or systematically extract data from the Service, including creator data, except through features we provide (such as Excel export and PDF download) and within your plan;
  • resell, sublicense or provide the Service or its data to third parties as a standalone data product;
  • use the Service or any creator data to harass, stalk, discriminate against or unlawfully profile any person;
  • send unsolicited bulk messages to creators using contact details from the Service, or otherwise contact creators in breach of anti-spam, do-not-call or data protection laws;
  • break the law, including advertising and influencer disclosure rules in the markets where you run campaigns;
  • try to break or bypass security, access controls or usage limits, or disrupt the Service;
  • reverse engineer the Service, except where the law allows despite this restriction;
  • share accounts, or use the Service to build a competing product.

We may suspend access that breaches this section, and will tell you why unless the law or safety prevents it.

4. Creator data

4.1 The Service shows information about social media creators that is publicly available or derived from public information, and aggregated estimates about their audiences. Estimates, including audience credibility and fake-follower figures, are indicators, not statements of fact about any creator.

4.2 You will use creator data only to find, evaluate, work with and report on creators for your own or your clients' marketing, and in line with applicable data protection laws and the terms of the social platforms concerned.

4.3 If a creator asks you to stop using their data, or to correct or delete it in your workspace, you are responsible for handling that request for your workspace content. Tell us if the request relates to data we provide, and we will handle it in line with our Privacy policy.

5. Your content

5.1 "Customer Content" means data you and your Users add to the Service, such as lists, notes, agreed rates, campaign settings and report text, and campaign content collected for your campaigns.

5.2 You own your Customer Content. You grant us a limited right to host, process and display it only to provide, secure and support the Service for you.

5.3 You are responsible for having the rights and permissions needed for Customer Content, including any personal data you add.

5.4 Shared reports. If you share a client report using "Anyone with the link", anyone with the link can view it without signing in. You control who you send the link to, and you can reset it at any time.

5.5 We process personal data in line with our Privacy policy and, where agreed, a data processing addendum.

6. Our Service and intellectual property

6.1 We own the Service, including its software, design, reports templates and documentation. Except for the rights granted in these terms, no rights are transferred to you.

6.2 If you send us feedback or ideas, we may use them without any obligation to you.

6.3 Third-party platforms. The Service relies on data from social platforms and data partners. Their availability, depth and accuracy vary by platform and can change without notice. Some features, such as automatic tracking of certain content types or platforms, depend on what those sources make available.

6.4 We may improve and change the Service. We will not materially reduce the core functionality of your plan during a paid term without telling you.

7. Confidentiality

Each party will keep the other's non-public business information confidential, use it only for the purposes of these terms, and protect it with reasonable care. This does not apply to information that is public through no fault of the receiving party, already known to it, independently developed, or disclosed where the law requires.

8. Term, suspension and termination

8.1 These terms apply while you have an active subscription or use the Service.

8.2 Either party may terminate if the other materially breaches these terms and does not fix the breach within 30 days of written notice.

8.3 We may suspend access immediately where needed to prevent serious harm, security risk or legal violation.

8.4 After termination, you may request an export of your Customer Content for 30 days, after which we may delete it, except where the law requires us to keep it.

9. Disclaimers

The Service is provided "as is" and "as available". Metrics are shown as reported by or derived from third-party platforms at the time they were collected. We do not guarantee that data is complete, error-free or uninterrupted, or that using the Service will achieve any particular business result. The Service does not measure sales, revenue or return on investment.

10. Limitation of liability

10.1 Neither party is liable for indirect, incidental, special or consequential losses, or for loss of profits, revenue, goodwill or data, even if advised of the possibility.

10.2 Each party's total liability arising out of these terms is limited to the fees you paid us for the Service in the 12 months before the event giving rise to the claim.

10.3 These limits do not apply to your payment obligations, breach of section 3, or liability that cannot be limited by law.

11. Indemnity

You will defend and indemnify us against third-party claims arising from your Customer Content, your use of creator data, or your breach of section 3. We will defend and indemnify you against third-party claims that the Service, used as permitted, infringes their intellectual property rights.

12. Governing law and disputes

These terms are governed by the laws of India. The courts at Ahmedabad, India, have exclusive jurisdiction, and each party submits to them. Before going to court, each party will try in good faith to resolve the dispute by discussion for 30 days.

13. General

  • Changes. We may update these terms. For existing subscriptions, changes take effect at renewal unless they are needed for legal or security reasons, in which case we will give reasonable notice.
  • Notices. Notices to us go to hello@creatorqube.com and our registered office. Notices to you go to the email address on your Order Form or account.
  • Assignment. Neither party may assign these terms without the other's consent, except to a successor in a merger or sale of its business.
  • Force majeure. Neither party is liable for delays caused by events beyond its reasonable control.
  • Entire agreement. These terms, the Order Form and the documents they refer to are the entire agreement between us about the Service.
  • Severability and waiver. If any part is unenforceable, the rest stays in effect. Not enforcing a right is not a waiver of it.
